Trea Tran Lachowicz is a Member of the Firm. She is an entertainment attorney who has represented and advised countless financiers, producers, directors, writers, actors, and distributors over the course of her career. Although she has negotiated all manners of motion picture, television, and new media transactions, she has particular expertise in the areas of finance, production, and distribution. Her matters have involved studios, production and distribution entities, producers, executive producers, banks, tax incentive financiers, senior and mezzanine lenders, and high net-worth equity contributors.
With her LL.M. in Taxation, Trea has become a valuable asset to the Firm, overseeing all matters related to finance, tax credits, securities law, and corporate matters such as entity formation, corporate structure, and maintenance. She has worked on projects ranging from micro-budget shorts to mid to high budget studio releases; from the initial structuring of finance; through preparation, drafting and negotiating of various financial agreements; and finally to preparation and review of due diligence materials in anticipation of closing. To this end, Trea has drafted, analyzed, and negotiated a wide variety of agreements including loan and equity related financing documents, co-production arrangements, production services agreements, completion guarantees, interparty and intercreditor agreements, collection account management agreements, and lien perfection related documents.
In addition to her background in film finance, Trea has also advised producers on issues relating to development, pre-production, and production agreements, including complying with applicable guild contracts; filing copyright and trademark registration; conducting corporate due diligence and review of rights / chain of title documents; and analyzing and reviewing option purchase agreements, loanout agreements, talent agreements, and other materials relating to development and production of motion picture and television.
Lastly, Trea has represented both producers and distributors in the preparation and negotiation of various distribution and sales agency agreements, including licensing and rights agreements, negative pickup, asset purchase agreements of library sales, and sub-distribution agreements covering both domestic and foreign territories.
Throughout her career, Trea has developed strong relationships with financiers, lenders, producers, and distributors, which she has been able to leverage and draw upon to give her clients the best representation possible. Her experience working closely with the production counsel and litigation departments on areas of intersection between finance, production, and distribution has allowed her to see “the big picture” of how different areas of the industry work together in order to anticipate and preemptively address issues before they arise. Therefore, Trea’s strong entertainment financing and tax background combined with her knowledge of production and distribution has prepared her to meet the needs of the entertainment clients at Pierce Law Group LLP.
